Terms of Service
1. Acceptance
By creating an account or using Parcelle (“the Service”), you agree to these Terms of Service and our Privacy Policy. If you are using Parcelle on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. The Service
Parcelle provides GPS-accurate vine mapping, custom field measurement recording, and vineyard management tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Accounts and Access
- You must provide accurate information when creating your account.
- You are responsible for maintaining the security of your credentials.
- You must be 18 years or older to use the Service.
- One account per user. You may not share login credentials across multiple people.
- We may suspend accounts that violate these terms without prior notice.
4. Free Trial
New organisations receive a 14-day free trial capped at 10 active vines and 3 team members. No credit card is required to start a trial. At the end of the trial period, access to the Service will be restricted until a subscription is activated.
5. Billing and Subscriptions
- Subscriptions are billed monthly via Stripe based on peak usage (active vines + team members).
- You may cancel at any time. Access continues until the end of the current billing period.
- We do not issue refunds for partial billing periods.
- Failed payments will result in a grace period, after which access may be suspended.
- Prices may change with 30 days' advance notice by email.
6. Your Data
You retain all rights to the vine data, measurements, and content you upload to Parcelle. You grant us a limited licence to store, process, and display that data solely for the purpose of providing the Service to you. We will not use your data to train AI models or for any purpose beyond operating the Service.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Attempt to reverse-engineer, scrape, or exploit the Service infrastructure.
- Upload malicious code, viruses, or disruptive content.
- Impersonate another person or organisation.
- Resell or sublicense access to the Service without our written consent.
8. Uptime and Service Level
We target 99.5% monthly uptime for the core mapping and data features. Planned maintenance windows will be announced in advance. We are not liable for downtime caused by third-party infrastructure providers (Supabase, Vercel, Stripe).
9. Intellectual Property
The Parcelle name, logo, and software are our intellectual property. These terms do not grant you any rights to use our branding or reproduce our software. All rights not expressly granted are reserved.
10. Disclaimer of Warranties
The Service is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or accuracy of GPS data. Agricultural decisions based on data from Parcelle are made at your own risk.
11. Limitation of Liability
To the fullest extent permitted by law, our total liability to you for any claim arising from use of the Service is limited to the amount you paid us in the 12 months prior to the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
12. Termination
Either party may terminate at any time. On termination, your access to the Service ceases and we will delete your data within 30 days, unless we are required by law to retain it. You may request an export of your data before termination by emailing us.
13. Governing Law
These terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. Any disputes will be resolved in the courts of New South Wales.
14. Changes to These Terms
We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the new terms.
